Terms of Service

Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Additional provisions apply for US users.
Please read these Terms of Service ("Terms") carefully before using the Tholi Health application and related services. By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. About Tholi Health
Tholi Health Inc. ("Tholi Health," "we," "us," or "our") provides an AI-powered health advocacy platform (the "App") that helps individuals with hormonal and chronic health conditions prepare for specialist appointments by translating their symptom language into clinically meaningful summaries. The Services include the App, our website at tholihealth.com, any related tools, features, and communications.
2. Acceptance of Terms
By accessing or using the Services, you confirm that you:
- Are at least 16 years of age (or the age of majority in your province or state, whichever is higher);
- Have read, understood, and agree to be bound by these Terms and our Privacy Policy;
- Have the legal capacity to enter into a binding agreement; and
- Are not prohibited from using the Services under any applicable law.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration and Security
To access the full features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and not share them with any third party;
- Notify us immediately at info@tholihealth.com if you suspect unauthorized access to your account; and
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that provide false information or that we reasonably believe have been compromised.
4. Subscription, Fees, and Payment
4.2 Billing and Renewal
- Paid subscriptions are billed in advance on a monthly or annual basis, as selected at purchase.
- Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- We will notify you of any price changes to your subscription plan at least 30 days before the change takes effect. Your continued use of the Services after the price change constitutes acceptance of the new price.
- All fees are charged in Canadian dollars (CAD) for Canadian users and US dollars (USD) for US users, unless otherwise indicated.
4.3 Cancellation and Refunds
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We do not provide refunds for partial billing periods, except where required by applicable consumer protection law.
- For Ontario users: Your statutory rights under the Consumer Protection Act, 2002 (Ontario) are not affected by these Terms.
- For US users: Your statutory rights under applicable state consumer protection law are not affected by these Terms.
4.4 Payment Processing
Payments are processed by a third-party payment processor. By providing your payment information, you authorize us to charge the applicable fees. We do not store your full card number. All payment transactions are subject to the payment processor's terms and privacy policy.
4.5 Taxes
Subscription fees may be subject to applicable sales taxes, HST, GST, or other taxes depending on your jurisdiction. We will collect and remit such taxes where required by law.
5. Health Information Disclaimer
Important, Please Read: Tholi Health is not a healthcare provider. The Services do not provide medical advice, diagnosis, or treatment. Nothing in the App or generated by our AI should be construed as a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider.
Specifically:
- AI-generated symptom summaries and clinical language translations are communication aids, not medical opinions;
- You should always consult a qualified healthcare professional regarding any health concerns or before making decisions about your health;
- If you are experiencing a medical emergency, call 911 (Canada/US) or your local emergency services immediately. Do not use the App;
- The information in your Tholi Health account does not constitute a medical record for clinical, insurance, or legal purposes;
- Tholi Health does not verify the accuracy of information you enter into the App, and the quality of AI-generated outputs depends on the information you provide.
6. AI-Generated Content: Limitations and Your Responsibilities
Our Services use artificial intelligence to assist you. You acknowledge and agree that:
- AI-generated content may contain errors, omissions, or outdated information;
- You are responsible for reviewing all AI-generated appointment summaries and clinical language before sharing them with any healthcare provider;
- You will not rely on AI-generated content as a definitive or final medical assessment;
- Tholi Health is not liable for decisions made by you or your healthcare providers based on AI-generated content; and
- AI capabilities may change over time, and we do not guarantee that specific AI features will remain available.
7. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to submit false, misleading, or fraudulent health information;
- Attempt to gain unauthorized access to any part of the Services, our systems, or other users' accounts;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
- Scrape, crawl, or use automated means to access the Services without our prior written consent;
- Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure;
- Upload or transmit viruses, malware, or other harmful code;
- Violate any applicable local, provincial, federal, or international law or regulation; or
- Reproduce, distribute, or publicly display any part of the Services without our prior written consent.
8. User Content
8.1 Ownership
You retain full ownership of all health information, symptom descriptions, notes, and other content you input into the App ("User Content"). Nothing in these Terms transfers ownership of your User Content to Tholi Health.
8.2 License to Tholi Health
By using the Services, you grant Tholi Health a limited, non-exclusive, royalty-free license to process your User Content solely to provide the Services to you. We do not use your identifiable User Content for any purpose beyond providing the Services, as described in our Privacy Policy.
8.3 De-identified Data
We may use aggregated, de-identified data derived from User Content (which cannot reasonably identify you) to improve the Services, develop new features, and for internal research. This use is consistent with our Privacy Policy.
8.4 Your Responsibility for User Content
You are solely responsible for the accuracy and completeness of User Content you provide. You represent that you have the right to submit such content and that it does not violate any third-party rights.
9. Intellectual Property
Except for your User Content, all content, features, functionality, software, text, graphics, logos, trademarks, and designs of the Services are owned by Tholi Health or our licensors and are protected by Canadian and international intellectual property laws.
These Terms do not grant you any right, title, or interest in the Services beyond the limited right to use them as described herein. "Tholi Health" and our logo are trademarks of Tholi Health Inc. You may not use our trademarks without our prior written permission.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.
11. Third-Party Services and Integrations
The Services may integrate with or link to third-party applications, websites, or services (e.g., calendar apps, health platforms). Tholi Health does not control these third parties and is not responsible for their content, privacy practices, or terms. Your use of any third-party service is at your own risk and subject to the applicable third party's terms.
12. Service Availability and Modifications
We strive to maintain consistent availability of the Services, but we do not guarantee uninterrupted access. We reserve the right to:
- Modify, update, or discontinue any feature or aspect of the Services at any time, with reasonable notice where practical;
- Perform scheduled and emergency maintenance that may temporarily affect availability;
- Limit certain features or the volume of data processed at our reasonable discretion.
We will provide reasonable advance notice of material changes to the Services where possible. We are not liable for any loss or inconvenience caused by service interruptions outside our reasonable control.
13. Termination
13.1 Termination by You
You may terminate your account at any time by deleting it through the App settings. Upon deletion, your access to the Services will end and your data will be handled in accordance with our Privacy Policy and Section 9 of the Privacy Policy (Data Retention).
13.2 Termination by Tholi Health
We may suspend or terminate your account immediately, with or without notice, if:
- You breach any material provision of these Terms;
- We are required to do so by law;
- Your conduct poses a risk to us, other users, or third parties; or
- You fail to pay applicable subscription fees after reasonable notice.
13.3 Effect of Termination
Upon termination, your right to access the Services immediately ceases. Sections that by their nature should survive termination (including Sections 5, 6, 9, 14, 15, 16, and 17) will remain in effect.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THOLI HEALTH DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT GENERATED BY THE SERVICES, INCLUDING AI-GENERATED CLINICAL SUMMARIES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THOLI HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES;
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) FIVE HUNDRED CANADIAN DOLLARS (CAD $500).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION.
For Ontario users, your statutory rights under the Consumer Protection Act, 2002 (Ontario) are not affected. For US users, some jurisdictions do not allow certain limitations on liability, so some of the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless Tholi Health and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
17.2 Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute informally by contacting us at info@tholihealth.com. If the dispute is not resolved within 30 days, either party may submit the dispute to the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on our website with a revised "Last Updated" date and notify you by email. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may delete your account.
19. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Tholi Health with respect to the Services, and supersede all prior or contemporaneous agreements, representations, or understandings.
